Companies CEA Industries and 10X Capital, with the participation of YZi Labs, have announced a large private placement of shares and warrants, aiming to raise a total of $1.25 billion to establish the world’s largest BNB reserve with a subsequent public market entry.

Deal Structure and Funding Details

As part of the deal, over 140 institutional investors will have the opportunity to purchase shares worth $500 million, as well as warrants for an additional $750 million. A portion of the raised investments — $100 million — was contributed in the form of crypto assets. The final closing of the deal is expected to occur by July 31, 2025.

The treasury management of the BNB reserve will be handled by 10X Capital, while the public market entry of the company was facilitated by the participation of CEA Industries, whose shares trade under the ticker VAPE on the Nasdaq exchange. Following the announcement of the deal, the value of CEA Industries’ securities reacted with a noticeable increase.

Future Plans and Board of Directors Update

As stated in the release, the goal of raising funds is “to create the world’s largest BNB reserve with a public market entry.” After the deal is completed, the company will establish an initial position in the asset and plans to significantly increase it over the next one to two years. Additionally, the enterprise will utilize staking to generate additional profits.

David Namdar, Russell Reed, and Saad Nadja will join the board of directors of CEA Industries. The company’s new strategy will take effect after the market closes on July 31, 2025.

Previously, BNB reached a historic high, which experts partially attribute to the increased institutional participation in the relevant ecosystem.
