Important details regarding the implementation of the Framework Intergovernmental Agreement between Ukraine and the USA are outlined in two unpublished documents signed in Washington. According to these documents, the American side will receive all information that may interest investors first. They will assess their interest within three months, and only if they are dissatisfied with the terms will they wait for other potential investors. However, even in such a case, Ukrainian companies will not be able to offer more favorable financial terms than those proposed to American investors for six months.

The situation with product procurement leaves much to be desired: the Ukrainian side will not have the opportunity to offer a price lower than the one that the Americans will refuse for the next six months. Such conditions, according to analysts, significantly reduce Ukraine’s attractiveness to investors.
Management Structure of the Joint Fund
The Joint Fund will be managed by a Council, which will consist of an equal number of representatives from Ukraine and the USA. However, the four committees that will assist the Council demonstrate significant disproportion:
- Investment Committee: three managers from the USA, two from Ukraine.
- Administrative Committee: three managers from the USA, two from Ukraine.
- Audit Committee: two managers from the USA, two from Ukraine.
- Project Sourcing Committee: three managers from Ukraine, two from the USA.
Thus, Ukraine will only be entrusted with project sourcing, while a significant portion of issues will be resolved exclusively by managers from the USA. If the “Ukrainian partner” violates the terms of the agreement, they will lose the right to distributions from the Fund, and Ukrainian representatives will lose their voting rights in the Council and the relevant committees. There is no mention of violations by the USA.
